Our client is an international asset management firm with an unparalleled reputation across the Asia Pacific region. With the continued growth of the organization, the need has arisen to recruit high calibers to join them.
Prepare, work with external counsel, and negotiate fund-related documentation including, articles, prospectuses, shareholder resolutions and notices, and all other forms of agreements and documents with service providers, including trustees, investment managers, custodians, fund administrators and auditors in relation to the establishment, maintenance and termination of UCITS/SFC authorised retail funds and MPF funds. Prepare and work with external counsel and internal functions to structure and manage all types of regulatory applications required to obtain, maintain and remove registration and authorisation of retail funds and MPF funds. Prepare and negotiate all forms of agreements with external vendors, such as brokers, banks, risk rating agencies, etc. in relation to investments by the funds. Prepare and negotiate distribution agreements with distributors and intermediaries for the distribution of retail funds in Hong Kong. Provide legal advice on all other matters in connection with retail funds and MPF funds. Manage legal risk exposures by ensuring compliance with all relevant statutory and regulatory requirements, and help implement best practices. Assist with corporate governance related work in relation to the funds and the Company. Draft, review and negotiate a variety of commercial agreements with external vendors/outsourcing partners, such as engagement letters, procurement agreements, digital related contracts, IT contracts and other legal documentation in connection with the infrastructure and general Company matters. Draft and review intra-group agreements between group affiliates, such as delegation/secondment agreements and service level agreements. Advise on data protection, privacy and intellectual property matters and labour law as well as other related areas of local law.
To be considered, you should be a qualified lawyer with a minimum of 2 years PQE. Qualified as a lawyer in Hong Kong. Experience in a major law firm, reputable asset management firm or both doing retail funds work. Excellent command of written English and Chinese (including Putonghua), with superior drafting and reviewing skills in both languages. Ability to analyse through legal problems and to provide appropriate legal solutions.
